These Terms and Conditions (“Terms”) constitute a binding agreement between you (“User”, “you”, “your”) and XetaBytes (“Company”, “we”, “us”, “our”), the owner and operator of StallonRent.com (“Platform”, “Service”, or “StallonRent”).

By accessing or using StallonRent.com, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other policies or guidelines displayed on the Platform.

If you do not agree, please do not use the Platform.

1. Parties and Role of XetaBytes

1.1 XetaBytes is a technology company providing an online marketplace through StallonRent.com, enabling:

• Exhibitors to discover and book stalls at exhibitions and events listed by third-party Organisers.
• Organisers to list, promote, and manage their events and stalls for potential exhibitors.

1.2 XetaBytes and StallonRent act solely as an intermediary / facilitator / technology platform between Exhibitors and Organisers.

1.3 We are NOT:

• An event organiser, co-organiser, vendor, or agent.
• A party to any contract, agreement, or transaction between Organisers and Exhibitors.
• Responsible for event quality, conduct, delivery, fulfilment, refunds, cancellations, facilities, or any commitment made by either party.

1.4 All transactions and communications between Exhibitors and Organisers are independent contracts between them, and XetaBytes shall bear no financial, legal, or operational liability arising from such transactions.

2. Eligibility

2.1 You must be at least 18 years of age and legally competent to enter into a binding contract under the laws of India.

2.2 By using the Platform, you represent that all information provided is accurate, complete, and lawful.

2.3 XetaBytes reserves the right to suspend or terminate accounts found to be false, misleading, or in violation of these Terms.

3. User Accounts

3.1 To access or use certain features, you must create an account with accurate details including your name, business name, valid contact information, and password.

3.2 You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

3.3 You agree to notify us immediately at contact@xetabytes.com in case of any unauthorized use or security breach.

3.4 XetaBytes reserves the right to suspend or permanently disable accounts at its sole discretion in case of suspected fraud, misuse, or policy violation.

4. Platform Usage

4.1 You agree to use the Platform only for lawful purposes and in accordance with these Terms.

4.2 You shall not:

• Post false, misleading, or fraudulent information.
• Use the Platform for illegal or prohibited transactions.
• Attempt to hack, copy, or reverse-engineer the Platform.
• Upload harmful, defamatory, or infringing content.
• Circumvent fees, payment structures, or communications.

4.3 XetaBytes reserves the right to monitor, remove, or restrict any content or user activity violating these Terms.

5. For Organisers

5.1 Organisers may list exhibitions, expos, or events (“Events”) and define stall categories, pricing, availability, and terms of participation.

5.2 Organisers agree:

• All event details provided are accurate and up to date.
• To deliver the event as described, in compliance with local laws and permits.
• To manage exhibitors fairly and professionally.
• To handle their own taxes, licenses, and vendor agreements.

5.3 XetaBytes shall not be liable for any disputes between organisers and exhibitors, including:

• Event cancellations or postponements,
• Misrepresentation of event details,
• Failure to deliver promised facilities or attendance,
• Non-payment, refund issues, or damages.

5.4 Organisers authorize XetaBytes to display their event content, media, and brand assets on StallonRent for promotional and marketing purposes.

6. For Exhibitors

6.1 Exhibitors may browse and book stalls offered by Organisers through the Platform.

6.2 By booking a stall, you agree that:

• You have reviewed all event details, including location, terms, and pricing.
• You understand XetaBytes only facilitates the booking, and your agreement is directly with the Organiser.
• You are responsible for verifying event authenticity, facilities, and value before booking.

6.3 XetaBytes will not be responsible for:

• Event cancellation, postponement, mismanagement, or lack of audience.
• Financial losses, vendor disputes, transport or logistical issues.
• Any claim related to the organiser’s actions, event success, or commitments.

6.4 All bookings are final as per the organiser’s policy; XetaBytes bears no obligation for refunds, replacements, or compensations.

7. Payments and Service Fees

7.1 XetaBytes charges both Exhibitors and Organisers a Platform Service Fee, calculated as a percentage of the transaction value or a fixed amount as communicated during booking or listing.

7.2 All payments made on StallonRent are processed through secure, third-party payment gateways.

XetaBytes does not store complete payment card information.

7.3 XetaBytes may deduct its Service Fee before transferring remaining amounts to Organisers.

7.4 The Service Fee is non-refundable, including in cases of event cancellation, disputes, or refunds requested between Organisers and Exhibitors.

7.5 All financial settlements between Exhibitors and Organisers are independent of XetaBytes and must be resolved directly between the concerned parties.

8. Cancellations and Refunds

8.1 Event Cancellations by Organisers:

Organisers are solely responsible for notifying exhibitors and issuing refunds (if applicable).

XetaBytes does not guarantee any refund on behalf of organisers.

8.2 Booking Cancellations by Exhibitors:

All bookings are subject to the cancellation policy defined by the Organiser.

XetaBytes is not responsible for any refund, compensation, or adjustment.

8.3 Platform Service Fees:

Service fees charged by XetaBytes are strictly non-refundable under all circumstances.

8.4 In case of a dispute, XetaBytes may, at its discretion, attempt informal mediation but is not obliged to act as an arbitrator or refund mediator.

9. Intellectual Property Rights

9.1 All intellectual property rights in StallonRent — including its name, logo, software, design, content, and branding — belong exclusively to XetaBytes.

9.2 Users are granted a limited, revocable, non-transferable, non-exclusive license to access and use the Platform for lawful purposes only.

9.3 You may not copy, modify, sell, distribute, or reproduce any part of the Platform without prior written consent from XetaBytes.

10. Disclaimers

10.1 StallonRent is a neutral marketplace facilitating communication and transactions between independent organisers and exhibitors.

10.2 XetaBytes:

• Does not control or guarantee the existence, quality, safety, suitability, or legality of any event or stall.
• Does not verify or guarantee the accuracy of organiser or exhibitor content.
• Is not liable for any representations, commitments, or warranties made by users.
• Is not responsible for any injury, damage, or loss (financial or otherwise) arising from event participation or listings.

10.3 Users participate and transact at their own risk.

11. Limitation of Liability

To the maximum extent permitted by law:

11.1 XetaBytes, its directors, employees, and affiliates shall not be liable for any:

• Loss of revenue, profits, goodwill, data, or business opportunities,
• Indirect, consequential, exemplary, punitive, or incidental damages,
• Arising out of or related to your use of the Platform, event participation, or any interaction between Exhibitors and Organisers.

11.2 XetaBytes’ total liability, if any, for any claim or cause of action under these Terms shall not exceed the total Service Fees paid by you to XetaBytes during the 3-month period preceding the claim.

11.3 Users hereby waive all claims, whether known or unknown, against XetaBytes arising from disputes between Exhibitors and Organisers.

12. Indemnification

You agree to indemnify, defend, and hold harmless XetaBytes, its affiliates, employees, officers, and representatives from any and all claims, damages, liabilities, losses, expenses, or costs (including legal fees) arising from:

• Your breach of these Terms;
• Any act, omission, or misrepresentation by you;
• Your use or misuse of the Platform;
• Any dispute or transaction with another user (Exhibitor or Organiser).

This clause shall survive termination of your account and use of the Platform.

13. Termination

13.1 XetaBytes may, at its sole discretion, suspend, restrict, or terminate your account or access to the Platform without notice if:

• You breach these Terms,
• You engage in fraudulent, illegal, or unethical behaviour,
• Required by law or government order.

13.2 Upon termination, all outstanding dues, fees, and liabilities owed to XetaBytes shall remain enforceable.

14. Force Majeure

XetaBytes shall not be liable for any delay, failure, or interruption in performance arising from causes beyond its reasonable control, including acts of God, natural disasters, strikes, riots, cyberattacks, governmental actions, or telecommunications failures.

15. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising under or related to these Terms shall be subject to the exclusive jurisdiction of courts in Ghaziabad, India.

16. Amendments

XetaBytes reserves the right to modify, amend, or update these Terms at any time without prior notice.

Revised versions will be posted on the Platform with the updated effective date. Continued use of the Platform constitutes acceptance of such changes.

17. Entire Agreement

These Terms, along with the Privacy Policy and any additional policies posted on the Platform, constitute the entire agreement between the User and XetaBytes and supersede any prior agreements or communications.
